Adjudication of Penalties

Introduction

The process of adjudication of penalties refers to the authority vested in certain officers under the Companies Act, 2013 to impose penalties for contraventions of the provisions of the Act. This mechanism aims to ensure compliance and enforce corporate governance norms.

  • The Registrar of Companies (RoC) or any other officer appointed by the Central Government acts as the Adjudicating Officer.
  • The Adjudicating Officer is empowered to impose monetary penalties for defaults and non-compliances specified under the Companies Act.

Show Cause Notice

Upon detection of a default, the Adjudicating Officer issues a show cause notice to the concerned company or person, specifying the alleged contravention and asking for an explanation.

Response Submission

The recipient is given an opportunity to reply within a stipulated time, providing explanations or supporting documents.

Hearing

The Adjudicating Officer may conduct a hearing where the parties can present their case in person or through authorized representatives.

Order of Penalty

Based on the facts and submissions, the Adjudicating Officer passes an order imposing a penalty or dismissing the case.

The penalty amount is prescribed under respective sections of the Act, depending on the nature of the contravention.

  • Failure to file annual returns and financial statements on time.
  • Non-compliance with statutory requirements related to meetings, registers, or disclosures.
  • Contravention of provisions related to director appointments, share capital, or loans.
  • Failure to maintain books of accounts or records.

  • An aggrieved person may file an appeal to the Regional Director within 60 days from the date of receipt of the adjudication order.
  • The Regional Director’s decision is final and binding.

  • Penalties serve as a deterrent to ensure adherence to the Companies Act.
  • The adjudication process is quasi-judicial, ensuring fair opportunity and transparency.
  • Payment of penalties does not absolve the defaulting party from other liabilities, including criminal prosecution, if applicable.
